Agreement and authority
These terms govern access to LeadWhistle by the person accepting them and the business or organization that person represents ("Customer"). By creating an account or using the service, you confirm that you are legally able and authorized to bind Customer to these terms. LeadWhistle is provided by [LeadWhistle legal entity or owner name].
Service
LeadWhistle provides website monitoring, lead-path checks, incident records, optional browser proofs, reporting, lead activity tools, and alert delivery based on the plan and settings selected by the workspace.
Accounts and authorized users
Customer is responsible for its account, authorized users, access permissions, and activity performed through the workspace. Customer must provide accurate information, protect credentials and integration keys, promptly remove access that is no longer authorized, and notify LeadWhistle of suspected misuse.
Workspace responsibilities
- Provide accurate account and billing information.
- Monitor, test, and collect information only from websites, forms, lead sources, and accounts Customer owns or is authorized to connect.
- Obtain any client, visitor, consent, privacy, and disclosure approvals required for your use.
- Keep webhook keys, tracking keys, and account credentials private.
- Use synthetic data and client-approved destinations for browser proof and form testing.
- Do not collect passwords, payment-card data, health information, government identifiers, precise location, or other sensitive information unless LeadWhistle has expressly approved the use in writing and the parties have completed any required safeguards and agreements.
Acceptable use
Customer must not use LeadWhistle to violate law or another person's rights; access systems without permission; distribute malware or unsolicited messages; evade security or plan limits; interfere with the service; misrepresent monitoring results; or use automated checks in a way that harms a connected site or provider. LeadWhistle may limit or suspend activity that reasonably appears unlawful, unsafe, abusive, or materially harmful.
Customer data
As between the parties, Customer retains its rights in the website, configuration, lead, and workspace data it submits or directs LeadWhistle to process ("Customer Data"). Customer gives LeadWhistle a limited right to host, process, transmit, and display Customer Data only as needed to provide, secure, support, and improve the service, comply with law, and enforce these terms. LeadWhistle's processing of personal information is also governed by the Privacy Notice and any applicable data-processing addendum.
Lead collection and notices
Customer decides whether to enable completed-submission or unfinished-form callback capture and which supported fields to collect. Customer is responsible for an accurate at-or-before-collection notice, any required consent, a separate marketing choice where required, honoring privacy requests, and selecting an appropriate retention period. LeadWhistle's setup confirmations record product settings; they are not legal approval.
Monitoring limits
Checks report results observed at particular times and may produce false positives, false negatives, incomplete explanations, or delayed alerts. They do not guarantee that a website, third-party scheduler, phone carrier, CRM, form provider, or lead will remain available or be detected between checks. Customer remains responsible for reviewing incidents and making business decisions. Browser proofs, screenshots, agent-assisted discovery, and provider usage are bounded by the selected plan and product controls.
Third-party services
LeadWhistle may rely on or connect to third-party hosting, communications, payment, browser, analytics, form, calendar, and CRM services. Those services may have separate terms, limits, outages, and privacy practices. Customer is responsible for integrations it authorizes. LeadWhistle is not responsible for a third-party service outside its control, but will use reasonable efforts to identify provider-related failures when the product supports doing so.
Billing and cancellation
Plan price, included usage, billing interval, and any trial are shown at checkout or in an order form. Unless checkout or an order form states otherwise, a paid subscription renews for the same interval until canceled through the billing portal. Cancellation stops the next renewal and does not by itself create a refund for the current period. Fees are exclusive of applicable taxes. [Confirm refund rule, trial conversion, overage/provider-usage treatment, failed-payment grace period, and renewal notice requirements against the live Stripe configuration.]
Plan limits and changes
Customer must remain within the site, seat, check, storage, browser-run, messaging, and provider-usage limits shown for its plan. LeadWhistle may change future plan features or prices with notice required by applicable law. A material reduction to a prepaid plan will not take effect during the current paid period unless necessary for security, legal compliance, or a third-party service change.
Data and reports
Workspace data is used to provide the service. Client-safe reports intentionally omit private lead contact details. The workspace is responsible for reviewing recipients before sharing reports and for deleting data it no longer needs.
Intellectual property and feedback
LeadWhistle and its licensors retain their rights in the service, software, interface, documentation, and branding. Subject to these terms and payment of applicable fees, Customer receives a limited, non-exclusive, non-transferable right to use the service for its internal business operations. If Customer provides feedback, LeadWhistle may use it without restriction or payment, provided the feedback does not disclose Customer confidential information.
Confidentiality
Each party will use the other party's non-public business, technical, and customer information only for the relationship, protect it using reasonable care, and disclose it only to people who need it and are bound to protect it. This does not cover information that is public through no breach, independently developed, rightfully received without restriction, or required to be disclosed by law.
Availability and support
We will use reasonable care to operate the service, but cannot promise uninterrupted availability or a particular detection time. Support channels, response targets, maintenance windows, and any managed-service commitments must be stated in the applicable plan or order form.
Suspension and termination
Customer may stop using the service and cancel as described above. LeadWhistle may suspend or terminate access for material breach, nonpayment, unlawful or unsafe use, security risk, or harm to the service or others, with notice and an opportunity to cure when reasonable. On termination, access ends and Customer Data will be handled under the retention terms in the Privacy Notice and any applicable agreement. [Confirm export window and account-deletion schedule.]
Disclaimers and liability
LeadWhistle is a monitoring and workflow aid, not legal, compliance, cybersecurity, emergency, or guaranteed lead-recovery service. The service is provided on an "as available" basis to the extent permitted by law. [Counsel must add and approve the warranty disclaimer, liability cap, excluded damages, indemnity, and any exceptions that applicable law requires.]
Disputes and governing law
[Counsel must add and approve the governing law, venue, dispute-notice process, arbitration or court choice, class-action language if any, and any region-specific consumer rights.]
Changes
LeadWhistle may update these terms for changes to the service, law, security, or business operations. The effective date will be updated, and additional notice will be provided when required for a material change. Continued use after the effective date means acceptance where permitted by law.
